1. Who this agreement is between
These terms are between Kygra Care, operated by Graeme Weatherill, sole trader, ABN 47 022 872 945 ("we", "us"), and you, the person who creates an account ("you", "the worker"). By creating an account you agree to these terms.
2. What Kygra Care is
Kygra Care is invoicing software for NDIS support workers: shift entry (by voice or text), a monthly calendar review, and invoice generation.
What it is not: Kygra Care is not a source of NDIS compliance advice, and using it does not transfer your compliance obligations to us. The pricing engine applies deterministic rules (rate caps, day-type classification) to reduce the chance of billing errors, and any natural language parsing (voice/text entry) only assists data entry — it never sets a price. But the engine reduces, it does not eliminate, your own responsibility to check that shifts, item codes, and rates are correct before you issue an invoice. You are the support worker; you know your clients and your obligations under the NDIS Code of Conduct and your service agreements. We don't.
3. Your account
- You must give accurate information when you register, and keep your Settings (ABN, bank details, provider information) up to date — invoices are generated from what you enter.
- You're responsible for keeping your login secure. Tell us if you think your account has been accessed by someone else.
- One account is for one worker. Each worker's data is isolated from every other worker's on the platform.
4. Fees
Kygra Care has a free tier with usage limits (a capped number of AI Assistant uses and transcription minutes per month, and a cap on shifts logged per month once your first month is over) and an optional paid tier, Kygra Care Plus, at $15/month (AUD), which removes those limits up to a fair-use ceiling. Manual entry, invoicing, sending, and client/report features are free on every tier and are never metered.
Payments for Kygra Care Plus are processed by Stripe — see our Privacy Policy section 3. We never see or store your card details. Your subscription renews monthly until you cancel; you can cancel at any time from Settings, and you'll keep Plus access until the end of the period you've already paid for. We don't provide refunds for partial months, except where required by Australian Consumer Law.
If a payment fails, we'll give you a 7-day grace period at full Plus access before automatically moving your account back to the free tier — we never suspend your account or remove any data already saved for a failed payment.
If we change the price or introduce a new paid tier, we'll tell existing users before any new charge starts, and you can decline and keep using the free tier (or close your account) rather than accept a new price.
5. Your data
What we collect, why, and how long we keep it is set out in our Privacy Policy — that document governs data handling, not this one. In short: your client and shift data is yours; we hold it to provide the service, don't sell it, and delete it on request subject to the tax record-keeping retention period described there.
6. Acceptable use
You agree not to:
- Use Kygra Care to store or process data for anyone other than a genuine NDIS participant you provide supports to
- Attempt to access another worker's account or data
- Use the service in a way that breaches the NDIS Code of Conduct or any law
This is a summary. The full detail — the fair-use limits on AI-assisted entry, why they exist, what happens when you reach one, and what counts as misuse rather than heavy use — is in our Acceptable Use Terms, which forms part of this agreement.
If you breach this section — for example by entering data for someone who isn't a genuine participant you support, or by using the service unlawfully — and that breach leads to a claim, fine, or loss against us, you agree to cover the reasonable costs that directly result from your breach. This doesn't apply to a mistake made in good faith (like a data entry error) or to anything caused by an error in the service itself.
7. Intellectual property
The Kygra Care software, engine, and branding belong to us. Your client, shift, and invoice data belongs to you — we don't claim ownership of it, and you can export or ask for a copy of it at any time (see the Privacy Policy).
Feedback. If you send us feedback, ideas, or suggestions (for example through the in-app feedback button), you don't have to, and we're under no obligation to act on them. If we do use them to improve Kygra Care, we may do so freely, without owing you anything or needing to credit you. This doesn't affect your ownership of your own client, shift, and invoice data described above.
8. No warranty, limitation of liability
Kygra Care is provided "as is." We don't guarantee the service will be uninterrupted or error-free, particularly while in beta. To the maximum extent the law allows:
- We are not liable for losses arising from incorrect data you entered, incorrect item codes or rates you set for a client, or your own failure to check a draft invoice before issuing it.
- This cap also applies if the pricing engine itself makes an error (for example, misapplying a rate cap or day-type classification) — it limits what you can recover, it does not mean we deny responsibility, and you should still always check a draft invoice before issuing it regardless of whose error it might be.
- Our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim arose, or $100 if you're on the free tier and haven't paid us anything.
- Nothing in this section limits any liability that can't lawfully be excluded under the Australian Consumer Law.
9. Termination
- You can close your account at any time.
- We can suspend or close an account immediately and without prior notice if we reasonably believe you've committed fraud, used the service unlawfully, or put other workers' data at risk.
- For any other breach of these terms or the Acceptable Use Terms, we'll give notice and a reasonable opportunity to fix it before suspending or closing your account.
- On closure, your data is handled per the retention terms in the Privacy Policy — not deleted immediately if we're required to keep invoice/tax records.
10. Changes to these terms
We'll notify you of material changes before they take effect (e.g. by email or an in-app notice) and give you the chance to close your account instead of accepting them.
11. General
- You must be at least 18 and able to enter a binding contract to create an account.
- If any part of these terms turns out to be unenforceable, the rest still applies — we'll treat the unenforceable part as removed, not the whole document.
- These terms, together with the Privacy Policy, are the entire agreement between us about the service — they replace any earlier discussion or understanding about it.
- You can't transfer your account or these terms to someone else. We can, if we transfer the business itself (for example, a sale), but we'll tell you if that happens.
- Neither of us is responsible for a delay or failure caused by something genuinely outside our reasonable control (e.g. an internet outage, a third-party service listed in the Privacy Policy being down).
12. Governing law and disputes
These terms are governed by the laws of New South Wales, Australia. Before either of us starts court proceedings over a dispute, we'll both try in good faith to resolve it directly, and then through informal mediation if that fails, for at least 30 days. If it's still not resolved after that, either of us can go to the courts of New South Wales. This doesn't stop either of us seeking urgent injunctive relief (for example, to stop a data-security risk) without waiting out that process first.
